1. Introduction

Zero Labs is a platform that connects innovators and entrepreneurs with resources and opportunities. These Terms incorporate the Terms of Participation from the Zero Labs Innovation Launchpad event and the reference Terms of Service from Zero Labs.

2. Definitions

Content: text, images, photos, audio, video and all other forms of data or communication.

Your Content: Content that you submit or transmit to, through, or in connection with the Services.

User Content: Content that users submit or transmit to, through, or in connection with the Services.

Zero Labs Content: Content that Zero Labs creates and makes available in connection with the Services.

Third Party Content: Content that originates from parties other than Zero Labs, UNLV, event sponsors, or its users, which is made available in connection with the Services.

Site Content: all of the Content that is made available in connection with the Services, including Your Content, User Content, Third Party Content, and Zero Labs Content.

3. Eligibility

To access or use the Services, you must be 18 years or older and have the requisite power and authority to enter into these Terms. You may not access or use the Services if we have previously banned you from our Site or closed your account.

4. User Accounts

You may need to create an account to use some features of the Services. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Zero Labs immediately of any unauthorized use of your account. Zero Labs reserves the right to close your account at any time for any or no reason.

5. Communications

By creating an account, you agree to receive certain communications in connection with your use of the Services. For example, you may receive updates about Zero Labs events or opportunities. You can unsubscribe from these communications at any time by following the instructions in the emails.

6. Content Guidelines

The purpose of the Services is to promote a collaborative and innovative ecosystem.

Users are expected to comply with the Zero Labs Innovation Launchpad Terms of Participation.

7. Your Content

You retain ownership of Your Content that you submit, post, or display on or through the Services. By submitting, posting, or displaying Content, you grant Zero Labs a non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, and distribute such Content in any and all media or distribution methods (now known or later developed) for the purposes of operating, promoting, and improving our Services, and developing new ones. This license includes the right for Zero Labs to make Your Content available to others for collaboration, distribution, promotion, or publication on our Service or through other media or distribution methods. You confirm and warrant to Zero Labs that you have all the rights, power, and authority necessary to grant the above license.

8. Zero Labs's Right to Use Your Content

Zero Labs may use Your Content in a number of ways, including displaying it publicly, modifying it, and distributing it.

By submitting Your Content, you grant Zero Labs a worldwide, non-exclusive, irrevocable, royalty-free license to use Your Content for any purpose.

You also grant users of the Services the right to access Your Content.

9. Ownership

Zero Labs owns the Zero Labs Content, including the visual interfaces, features, and other elements of the Services.

You own Your Content.

You may not modify, reproduce, distribute, or create derivative works of the Zero Labs Content without our express permission.

10. Restrictions

You agree not to use the Services to:

Violate any laws or rights of others.

Violate the Zero Labs Innovation Launchpad Terms of Participation or these Terms.

Harm or exploit others.

Interfere with the proper functioning of the Services.

11. Events

Event Participation Agreement: By participating in Zero Labs events, you agree to adhere to our event-specific Terms of Participation, which include conducting yourself in a professional manner, respecting other participants and their ideas, and being responsible for your actions and any damages they may cause. Zero Labs is dedicated to providing a safe, inclusive, and respectful environment for all attendees and expects all participants to contribute positively to this atmosphere. Please refer to our Terms of Participation on the event's landing page for detailed guidelines and expectations.

Photo and Video Consent: Participants acknowledge that Zero Labs and its authorized personnel may capture photographs and video recordings at our events. By attending, you consent to the use of these images and recordings for promotional, marketing, and other business purposes. If you do not wish to be photographed or recorded, please inform an event organizer upon arrival. We are committed to respecting your preferences and will make reasonable efforts to exclude you from promotional materials if so requested.

13. Copyright and Trademark Disputes

If you believe your copyright or trademark is being infringed, please follow the instructions in the Terms of Service from Zero Labs.

14. Suggestions and Improvements

By sending Zero Labs any ideas or suggestions, you agree that Zero Labs may use them without any obligation to you.

15. Disclaimer

The Services are provided "as is" and without warranties of any kind, express or implied. Zero Labs disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Zero Labs does not warrant that the Services will be uninterrupted or error-free.

16. Limitation of Liability

To the maximum extent permitted by law, Zero Labs will not be liable for any damages arising out of or related to your use of the Services. This includes, but is not limited to, direct, indirect, incidental, consequential, punitive, and special damages.

These Terms will remain in effect until terminated by you or Zero Labs. Zero Labs may terminate these Terms at any time, for any reason or no reason. You may terminate these Terms by stopping your use of the Services.

18. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of Nevada, United States of America.

19. Changes to these Terms

Zero Labs reserves the right to change these Terms at any time. We will notify you of any changes by posting the new Terms on the Services. You are responsible for checking these Terms periodically for any changes. By continuing to use the Services after we post the revised Terms, you agree to be bound by the revised Terms.

20. Entire Agreement

These Terms constitute the entire agreement between you and Zero Labs regarding your use of the Services.

21. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in effect.
